Cutting Edge Machine & Tool Terms of Service

Welcome to Cutting Edge Machine & Tool ("CEMTI"). These Terms of Service ("Terms") govern your access to and use of the CEMTI website located at cemti.com (the "Site") and any related services, including our SMS/text messaging program (collectively, the "Services"). Please read these Terms carefully before using our Services.
1. Acceptance of Terms
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Services.
2. Eligibility

CEMTI is a manufacturing company. If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at smsadmin@cemti.com of any unauthorized use of your account.
5. SMS/Text Messaging Program Terms
By opting in to receive SMS/text messages from CEMTI, you agree to the following:
- You consent to receive recurring automated marketing and/or informational text messages from CEMTI at the mobile number you provided. Consent is not a condition of any purchase.
- Message frequency varies. Message and data rates may apply.
- Reply "STOP" to cancel at any time. Reply "HELP" for assistance, or contact smsadmin@cemti.com.
- Carriers are not liable for delayed or undelivered messages.
- Your mobile opt-in information and consent will not be shared with third parties or affiliates for marketing purposes.
- This program is subject to our Privacy Policy and applicable wireless carrier terms.
6. Acceptable Use
You agree that you will not:
- Use the Services for any unlawful purpose or in violation of any applicable local, state, national, or international law
- Transmit any material that is defamatory, obscene, harassing, or infringing on the rights of others
- Attempt to interfere with, compromise, or disrupt the proper functioning of the Services
- Use any automated system, including bots or scrapers, to access the Services in a manner inconsistent with these Terms
7. Intellectual Property
All content, trademarks, logos, and other intellectual property displayed on the Site are the property of CEMTI or its licensors and are protected by applicable intellectual property laws. CEMTI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CEMTI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CEMTI'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT, IF ANY, YOU PAID TO CEMTI FOR ACCESS TO THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless CEMTI and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or your violation of these Terms.
12. Termination
We may suspend or terminate your access to the Services at any time, without notice or liability, for conduct that we believe violates these Terms, is harmful to other users, us, or third parties, or for any other reason in our sole discretion.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Indiana, and you consent to the personal jurisdiction of, and venue in, such courts.
